1. INTRODUCTORY PROVISIONS
1.1. Subject matter, framework and application
These General Terms of Sale and Use of the AiMED Dictate Service (hereinafter: the General Terms) govern the mutual rights and obligations of CEE-MED d.o.o., Zaima Šarca 34, 71000 Sarajevo, JIB: 4210007440005, represented by its director Medin Okić (hereinafter: CEE-MED or the Provider), and of users: healthcare professionals, healthcare institutions and business entities that use AiMED Dictate (hereinafter: the User).
Access to AiMED Dictate, including trial use, is available only to Users with a concluded Agreement or Pilot Project Agreement. By concluding an agreement, the User accepts these General Terms and the Privacy Policy. The General Terms are an integral part of every agreement and are published at https://aimed.ba/uvjeti-koristenja.
1.2. Definitions
For the purposes of these General Terms, the terms have the following meaning:
1.2.1. "AiMED Dictate" or the "Service" - a software solution owned by CEE-MED, delivered through a web browser as an auxiliary tool described in Section 3.1.
1.2.2. "User" - the contracting party (a healthcare institution, a healthcare professional or another business entity).
1.2.3. "User Account" - an access account intended for one user (a healthcare professional); one licence is one User Account. Exceptionally, on the basis of an individual offer, one User Account may be assigned to one workstation of an institution that is used by several staff members (e.g. in shifts). The User (the institution) itself determines to whom it assigns licences. Any other sharing of an account is not permitted.
1.2.4. "Output" - content that the Service automatically generates from what is spoken or entered into the Service (User Input), including the transcript and the Draft Report.
1.2.5. "Draft Report" - a structured working version of the text that the Service automatically generates.
1.2.6. "Confidential Information" - non-public information of a technical, business, financial or other nature that one party communicates to the other in the course of the performance of the Agreement.
1.2.7. "Subscription Period" - a billing month (monthly subscription) or a period of 6 or 12 months, in accordance with Annex 1.
1.2.8. "Agreement" - the agreement on the use of the AiMED Dictate service between the Provider and the User, including Annex 1 (number of licences, fee and period), the Data Processing Agreement (Annex 2, DPA) and other appendices.
1.3. Ownership and restrictions on use
CEE-MED is the exclusive owner of all intellectual property rights in the Service, including the source code, algorithms, interface, databases, documentation and trademarks. The User acquires a non-exclusive, non-transferable and time-limited licence to use the Service for the internal needs of carrying out healthcare activity.
The User is prohibited from:
- copying, decompiling, modifying, reverse engineering or creating derivative works based on the Service;
- transferring, sublicensing or assigning rights to third parties, as well as reselling the Service without the written approval of CEE-MED;
- using the Service or the Output to develop or train other models or competing products.
Ownership of the Output: the Output and the documents created by its verification and signature belong to the User; CEE-MED processes them exclusively for the purposes set out in Section 4. Aggregated usage data (e.g. time and duration) are used for billing, security and maintenance and do not contain the content of the User Input or of the Output.
1.4. Obligations of the User and acceptable use
The User is obliged to:
- keep the access credentials as a business secret and immediately notify CEE-MED of any suspicion of unauthorised use;
- handle the Output in accordance with Section 3.3 and be responsible for all User Input and for the content of the final document;
- fulfil the obligations of the Data Controller (Section 4.2);
- ensure that the persons who use the Service are familiar with these General Terms and are bound to keep professional secrecy; the User is responsible for their actions as for its own.
If the User mistakenly enters identification data of patients (first and last name, personal identification number (JMBG), address, contact details, medical record number or insurance number), the User is obliged to notify CEE-MED without delay at privacy@aimed.ba, and CEE-MED will, on the User's instruction, delete the corresponding records; CEE-MED is not obliged to search the content.
For a workstation account, the User keeps a record of the persons who use it (name, date and time of use), retains it for two years and delivers it to CEE-MED on request; the User is responsible for the actions of those persons. The record of actions kept by CEE-MED is kept at account level and does not identify an individual staff member. A licence may be transferred to another healthcare professional of the User only by closing the account and opening a new one; an account does not change its user.
The User is prohibited from:
- sharing the User Account contrary to Section 1.2.3, accessing the data of other users without authorisation or circumventing technical restrictions;
- entering false or unlawful content or malicious code, or compromising the security and stability of the Service;
- using the Service outside the purpose of providing a healthcare service, or the Conversation mode contrary to Section 3.4. A breach may lead to suspension (Section 2.5) or termination of the Agreement (Section 2.1.3).
2. GENERAL PROVISIONS
2.1. Conclusion, term, cancellation and termination of the agreement
2.1.1. Conclusion of the agreement. The contractual relationship arises upon the conclusion of the Agreement; the effective date is the date of the last signature. In the event of a discrepancy, the provisions of the Agreement apply, and in matters of personal data protection the provisions of the DPA apply, except for the provision on liability in Section 8.
2.1.2. Term and renewal. The Agreement is concluded for the Subscription Period set out in Annex 1. A monthly subscription lasts until the User cancels it. A subscription of 6 or 12 months is automatically renewed for the same period, according to the Price List in force on the renewal date, unless the User cancels it no later than the last day of the current period.
2.1.3. Cancellation and termination.
- Cancellation by the User: the User may cancel the Agreement at any time, without a notice period, in writing to support@aimed.ba or through the User Account.
- Monthly subscription: the billing month runs from the activation date to the same date of the following month. A User who cancels on any day within a billing month pays for that entire month, access lasts until its end, and the following months are not invoiced.
- Subscription of 6 or 12 months: cancellation takes effect from the end of the current period. Access lasts until its end and the subscription is not renewed further. The fee for the current period, including a period that began by automatic renewal, is owed in full and is not refunded.
- Termination by CEE-MED: CEE-MED may cancel the Agreement with a notice period of 30 (thirty) days, and may terminate it immediately for breach of the Agreement or of these General Terms or for misuse of the Service. If the Agreement ends through no fault of the User, CEE-MED refunds the proportionate part of the prepaid fee for the period after the end.
- Extraordinary termination: either party may terminate the Agreement immediately if bankruptcy or liquidation proceedings have been initiated against the other party or if the other party materially breaches its obligations of personal data protection or confidentiality.
Upon the end of the Agreement, access to the Service is switched off; before the end, the User is obliged to export and save all documents that it needs.
2.2. Package and subscription
The Service is offered through the "AiMED Dictate" package; one licence is one User Account (Section 1.2.3). The fee for the first Subscription Period is paid in advance, on the basis of a pro forma invoice, and is a condition for activation. Each subsequent period (the next billing month or a renewed period of 6 or 12 months) is invoiced at its start. For a larger number of licences, an individual offer is possible.
2.3. Start of the provision of the service
CEE-MED activates access to the Service on the first business day after the conclusion of the Agreement, including Annex 1 and the DPA, and after the payment has been recorded on the Provider's account, unless the Agreement provides otherwise.
2.4. Price of the service and payment terms
Prices are set by the Price List in force and by Annex 1, are expressed in KM exclusive of VAT, and VAT is charged in accordance with the regulations (17%). The User bears the bank charges of the payment. An invoice is payable within 15 (fifteen) days of its issue, to the account of CEE-MED stated in the Agreement, the invoice or the pro forma invoice; the day on which the payment is recorded is deemed to be the day of payment. The correction of an invoice and refunds are governed by the Refund Policy of the AiMED Dictate Service, which applies together with these General Terms.
An amendment to the Price List applies from the next Subscription Period and does not apply to periods already paid.
2.5. Suspension and restriction of access
CEE-MED may, with notice to the User, temporarily restrict or suspend access because of a breach of the Agreement or of these General Terms, suspicious use (Section 3.5) or in order to protect the security of the Service or of data; the measure is lifted as soon as the reason ceases. Suspension does not release the User from the obligation to pay and does not exclude the right to terminate. If the User is late with payment by more than 15 (fifteen) days, CEE-MED may suspend access until payment, and statutory default interest is charged on overdue amounts.
3. SPECIAL PROVISIONS - DESCRIPTION OF THE SERVICE
3.1. Description and purpose of the service
AiMED Dictate is an auxiliary tool for healthcare professionals that speeds up the preparation of documentation through voice recognition and the output of text in real time. Speech and text entered by the User are processed in an automated manner, exclusively for the purpose of producing a text record of the documentation. The User is responsible for the content that it enters into the Service and is obliged to take care not to enter identification data of patients.
3.2. Limits of the intended purpose
The Service does not replace the professional judgment of the healthcare professional, does not make diagnoses, does not recommend therapy or doses and does not provide clinical support. AiMED Dictate is not intended as, nor is it placed on the market as, a medical device and does not serve the diagnosis, treatment, monitoring or prevention of disease.
3.3. Nature of the Output and obligation to verify
The Output is automatically generated and may contain errors, omissions, incorrectly recognised words or numerical values and fabricated (hallucinated) content. Every Output must be reviewed, corrected and signed by the competent healthcare professional before clinical use, archiving or delivery to the patient; that professional assumes professional responsibility for the content of the document.
3.4. Conversation mode and patient consent
In the Conversation mode, the conversation between the healthcare professional and the patient is recorded. Before using that mode, the User is obliged to inform the patient and to obtain the patient's consent to the recording, and to keep proof of it. CEE-MED has no contact with the patient, does not obtain the consent and cannot verify that it has been given; responsibility for informing patients and for the consent lies with the User.
3.5. Use
The User uses the Service according to its needs. CEE-MED may restrict or suspend access only as protection against misuse, where the use is obviously unrealistic for one User Account (e.g. continuously 24 hours a day), with notice to the User (Section 2.5). If CEE-MED establishes that an account is shared contrary to the definition of the User Account, it may suspend the account (Section 2.5) and invoice the licences that were missing for the period of sharing according to the Price List in force.
3.6. Scope of the service and upgrades
CEE-MED may introduce, change and withdraw functionalities if it does not thereby materially reduce the agreed package. A substantially new service (e.g. a new module or a standalone product) may be the subject of a separate annex.
4. PERSONAL DATA PROTECTION
4.1. Roles of the contracting parties
For the content that the User enters or speaks and for the Output, the User is the Data Controller, and CEE-MED is the Processor, acting exclusively on the instructions of the User. For data on the User Account and billing, CEE-MED is the Data Controller. Protection measures, sub-processors, personal data breaches and the deletion of data are governed by the Data Processing Agreement and the Privacy Policy.
4.2. Obligations of the User as Controller
The User must have a legal basis for the processing and is responsible for it, as well as for informing patients and for the exercise of their rights. A User established in the EU/EEA agrees with CEE-MED, before the activation of the account, an addendum to the Data Processing Agreement with the EU standard contractual clauses (controller-processor) and the provisions of Article 28 of Regulation (EU) 2016/679. CEE-MED does not provide legal advice.
4.3. Storage and quality control
The Output is not stored permanently on the servers of CEE-MED. Exceptionally, on the instruction of the User, CEE-MED temporarily retains the transcript, the Output and the final text exclusively for the purpose of quality control and the elimination of errors in the operation of the Service, for no longer than 30 (thirty) days, after which they are automatically deleted; technical logs of the execution of processing may temporarily contain the text of the User Input and are deleted within 30 days at the latest. These data are not used for training models, marketing or other purposes, and sub-processors must not use them for training.
5. SERVICE LEVEL
CEE-MED makes a reasonable effort for the Service to be available; Section 8 applies to interruptions beyond its control. Support is provided exclusively by e-mail at support@aimed.ba, where the User also lodges a complaint if the Service is completely unusable for it. The quality of speech recognition depends on the audio signal, equipment and internet connection of the User, and CEE-MED gives no warranty of a level of accuracy.
6. DISCLAIMER OF WARRANTIES
To the extent permitted by law, the Service and the Output are provided "as is" and "as available", without express or implied warranties, including warranties of accuracy, completeness, uninterrupted or error-free operation and fitness for a particular purpose. CEE-MED is not liable for the conformity of the Output with clinical standards, for the outcome of its use or for the loss of content from the web browser of the User; the User is responsible for keeping and exporting the final documents.
7. CONFIDENTIALITY
The parties keep the Confidential Information of the other party secret and do not disclose it to third parties without written approval, except for information that is publicly available through no fault of the receiving party, that was known to it earlier or that it is obliged to disclose by a decision of a court or of a competent authority. The User is also responsible for the persons who use the Service. The obligation lasts 1 (one) year after the end of the Agreement, and for personal data and professional secrecy in accordance with the regulations.
8. EXCLUSION OF LIABILITY AND INDEMNIFICATION
CEE-MED is not liable for damage arising from the use of the Service or in connection with it, including indirect or consequential damage and lost profit, reliance on the Output without verification, content entered by the User, interruption or unavailability of third-party services (telecommunications operators, the internet, sub-processors, the devices and network of the User), except to the extent to which the Provider is liable for sub-processors under the Data Processing Agreement, force majeure (Section 9) and non-compliance with the obligations of the User (informing patients, basis for processing, consent for the Conversation mode, acceptable use). The exclusion does not apply to intent or gross negligence of CEE-MED, nor to the extent to which the law does not permit the exclusion of liability, and it does not call into question the rights of data subjects under the law. This provision is a single one for the Agreement, the DPA and these General Terms.
The User indemnifies CEE-MED for claims of third parties (including patients and regulators) and the related reasonable costs arising from content entered by the User, the absence of a legal basis, of notice or of consent, or misuse of the Service. The User confirms that it has specifically read, understood and expressly accepted the provisions of Sections 3.3, 6 and 8, as well as the provisions of Sections 2.1.2 (automatic renewal of the subscription), 2.1.3 (cancellation and refund of the fee) and 10.2 (amendments to the General Terms).
9. FORCE MAJEURE
Neither party is liable for delay in or non-performance of obligations due to force majeure (natural disasters, war, decisions of state authorities, failure of public telecommunications or internet infrastructure or of third-party services, cyber attacks), of which it notifies the other party without delay. If force majeure lasts longer than 90 (ninety) days, either party may terminate the Agreement without further obligations.
10. FINAL PROVISIONS
10.1. Governing law and dispute resolution
The law of Bosnia and Herzegovina and of the Federation of Bosnia and Herzegovina applies, including the Law on Obligations (Zakon o obligacionim odnosima). Disputes that are not resolved amicably within 30 days are resolved before the court in Sarajevo that has subject-matter jurisdiction.
10.2. Amendments and supplements to the General Terms
CEE-MED may amend these General Terms by publication at https://aimed.ba/uvjeti-koristenja. Amendments apply from publication, do not apply retroactively, and apply to a Subscription Period already paid from its expiry. A User who does not accept the amendments may cancel the Agreement at any time (Section 2.1.3); continued use after publication is deemed to be acceptance. Amendment of the Price List is governed by Section 2.4.
10.3. Severability clause
If any provision is declared invalid or unenforceable, the remaining provisions remain in force, and the invalid provision is replaced by a valid one that most closely reflects the original intention of the contracting parties.
10.4. Entire agreement; marketing materials
These General Terms, together with the Agreement, the DPA and the appendices, constitute the entire agreement of the contracting parties. The websites, presentations, offers, brochures and other marketing materials of CEE-MED are of an informative nature, are not part of the Agreement and do not constitute a warranty, unless they are expressly stated in the Agreement.
10.5. Transfer of rights
The User may not transfer rights and obligations without the written consent of CEE-MED. CEE-MED may transfer the Agreement to an affiliated entity or in the event of a status change, with notice to the User and with the obligations under the DPA preserved.
10.6. Use of references
CEE-MED may display the name and logo of the User on its list of references exclusively to confirm the business cooperation, without patient data and without Output content; the User may request removal in writing at any time.
10.7. Pilot project
A pilot project is free trial use of the Service for the purpose of evaluation and lasts up to 15 days, and for institutions with a larger number of users up to 30 days. It is governed by the Pilot Project Agreement, with the application of these General Terms and of the Data Processing Agreement, and does not oblige the User to conclude a commercial agreement.
10.8. Language, publication and validity
These General Terms are drawn up in the Bosnian language, which prevails in the event of translation. Version 3.0 is valid from 05.10.2026 until the publication of an amended version; for Agreements concluded earlier, it applies from the start of the next Subscription Period.
